预付款保函格式样本

预付款保函是指在国际贸易中，进口商为了获得货物发运前的一定额度信用，向出口商的银行开立的保函。下面是一个预付款保函的格式样本：

Dear Sir/Madam,

Re: Prepayment Guarantee

We, [保证人名称], a bank duly established and existing under the laws of [开立行所国家] with its principal office at [开立行所地址], hereby issue this Irrevocable Standby Letter of Credit ("Guarantee") in favor of [受益人名称]. This Guarantee is subject to the Uniform Customs and Practice for Documentary Credits (latest version) ICC Publication No. 600 ("UCP600") and will be governed by and construed in accordance with the laws of [适用法律国家].

The amount of this Guarantee is [保函金额] ([金额大写]), or such other amount as may be modified from time to time in writing by mutual agreement between the parties.

This Guarantee shall remain in full force and effect until [保函有效期限]. The Guarantee will expire automatically upon the occurrence of any of the following events:

1. The full payment of the prepayment amount stated in our invoice number [发票号码];
2. The issuance of a replacement guarantee in favor of the Beneficiary; or
3. Written notification from us to the Beneficiary of our intention to terminate the Guarantee, delivered with at least 30 days' prior notice.

In the event of any discrepancy, claim or dispute unless otherwise agreed, application and interpretation of this Guarantee shall be subject to the jurisdiction of the courts of [适用法院国家].

This Guarantee is transferable without restriction. Any assignment or transfer of this Guarantee is not subject to our consent, and we undertake to honor any demand for payment made by any subsequent holder in due course.
