This Letter of Guarantee ("Guarantee") is issued this [DATE] by [GUARANTOR NAME] ("Guarantor"), a [TYPE OF ENTITY] organized and existing under the laws of [JURISDICTION] with its principal place of business at [ADDRESS] ("Guarantor"), in favor of [BENEFICIARY NAME] ("Beneficiary"), with its principal place of business at [ADDRESS].

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants contained herein, Guarantor agrees as follows:
1. Guarantee of Payment
Guarantor hereby irrevocably and unconditionally guarantees to Beneficiary the payment of the remaining amount due to Contractor under the Contract, up to a maximum amount of [AMOUNT] (the "Guarantee Amount"). The Guarantee Amount shall represent the total sum of all outstanding payments to Contractor as per the agreed upon payment schedule in the Contract, less any payments already made by Beneficiary to Contractor.
2. Payment Trigger
This Guarantee shall become effective upon the occurrence of the following event (the "Trigger Event"):

4. Beneficiary's Rights

Demand payment from Guarantor as per the terms of this Guarantee. Exercise any other rights and remedies available to it under the Contract or applicable law, including, but not limited to, terminating the Contract or pursuing legal action against Contractor. Set off any amounts owed to Beneficiary against the Guarantee Amount.5. Conditions Precedent
Beneficiary's right to demand payment from Guarantor under this Guarantee is subject to the following conditions precedent:
Beneficiary shall have delivered a written demand to Guarantor, providing reasonable evidence of the Trigger Event and the amount of the remaining payments due to Contractor under the Contract. Such demand shall be accompanied by a proper invoice or other documentation substantiating the outstanding payments. Beneficiary shall have exhausted all reasonable efforts to obtain payment from Contractor directly. Beneficiary shall have complied with all of its obligations under the Contract.6. Exclusions and Limitations
This Guarantee does not apply to the following:
Any amounts due to Contractor for which Beneficiary is not obligated to pay under the Contract. Any amounts due to Contractor that are subject to a dispute or claim by Beneficiary. Any amounts due to Contractor that are not documented in accordance with the terms of the Contract. Any costs, expenses, or damages incurred by Beneficiary as a result of the Trigger Event, other than the remaining payments due to Contractor under the Contract.7. Termination
This Guarantee may be terminated by Beneficiary upon the following events:
The full payment of the remaining amounts due to Contractor under the Contract. The Beneficiary's written release of Guarantor from its obligations under this Guarantee.8. Governing Law
This Guarantee shall be governed by and construed in accordance with the laws of [JURISDICTION].
9. Jurisdiction and Venue
Any dispute arising out of or relating to this Guarantee shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION].

13. Binding Effect
This Guarantee shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
